Terms of Service

By accessing or using Drakonsynth (the “Service”), available at drakonsynth.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms form a legally binding agreement between you and Drakonsynth LLC, a Wisconsin limited liability company (“we,” “us,” or “our”). We may update these Terms from time to time; your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

Drakonsynth is a web-based software tool that provides charting, watchlists, account views, and user-directed order workflows. When brokerage connectivity is available to you, the Service may allow you to link an eligible account through a supported brokerage integration to view account information, transmit supported trading instructions, view real-time or delayed market data, and manage open positions and order history. Asset and feature availability depends on the connected account and supported integration.

At your direction, the Service may access information from a linked brokerage account and transmit supported trading instructions through the applicable integration. You decide whether, when, and on what terms to submit an order.

Drakonsynth does not open or maintain brokerage accounts, hold or custody user funds or assets, or exercise discretion over any account. We are not a broker-dealer, exchange, clearing firm, custodian, or financial intermediary. Brokerage accounts and execution services are provided by the applicable brokerage provider; Drakonsynth acts solely as a software interface for instructions you initiate.

You must be at least 18 years old and legally permitted to trade securities (and, where applicable, cryptocurrencies) in your jurisdiction in order to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements and that your use of the Service does not violate any applicable law or regulation.

The Service may be available only in jurisdictions where Drakonsynth and its applicable third-party providers may lawfully provide their respective services. Drakonsynth does not open brokerage accounts, and availability may depend on your location, account eligibility, provider availability, and applicable law.

You are responsible for maintaining the confidentiality and security of your Drakonsynth account credentials and your brokerage connection credentials. You are responsible for all activity that occurs under your account.

You agree to notify us immediately at support@drakonsynth.com if you suspect any unauthorized access to your account or any compromise of your brokerage connection credentials. We are not liable for any loss or damage resulting from your failure to safeguard your credentials.

You are solely responsible for all trades placed through the Service. All trading decisions, including order type, quantity, symbol, timing, and risk management, are made by you alone. We do not recommend, approve, review, or endorse any specific trade, strategy, asset, or security.

At your direction, Drakonsynth may transmit supported order instructions through your linked brokerage account. Orders may be delayed, rejected, partially filled, fail to execute, or execute at prices different from your expectations. Requests to cancel an order are not guaranteed.

Past performance does not guarantee future results. Market data, connectivity, and third-party systems may be delayed, incomplete, inaccurate, or unavailable. You must monitor the account records, orders, positions, and confirmations made available by your brokerage provider and promptly address discrepancies. You acknowledge that you have independently agreed to the applicable brokerage provider's terms and that your relationship with that provider is governed by your direct agreement with it.

You agree not to:

• Use the Service for any unlawful purpose, including market manipulation, securities fraud, insider trading, wash trading, or money laundering;
• Attempt to reverse-engineer, decompile, scrape, or otherwise exploit the Service or its underlying infrastructure;
• Share, sell, sublicense, or transfer your account credentials or brokerage connection credentials to any other person;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its systems, or the accounts of other users;
• Use the Service in violation of any applicable law, regulation, or third-party rights, including the terms of service of a brokerage integration or other third-party provider.

Access to Drakonsynth requires a paid subscription, processed through Stripe.

• Plan: $45.00 USD per month
• Free Trial: 14 days, no charge until the trial period ends
• Billing: Automatically charged monthly after the trial on a recurring basis
• Taxes: Prices may be subject to applicable taxes depending on your location

By providing your payment information, you authorize us, through Stripe, to charge your payment method on a recurring monthly basis until you cancel. If a payment fails, your access may be suspended or terminated until payment is resolved.

You may cancel your subscription at any time through your account settings or by contacting us at support@drakonsynth.com. Cancellations take effect at the end of the current billing period, and you will retain access to the Service until that date.

We do not provide refunds for partial months or unused portions of a billing period, except as required by applicable law. Cancellations made before the end of the 14-day free trial will not be charged.

Nothing in the Service creates a fiduciary, advisory, broker-client, or discretionary relationship between you and Drakonsynth.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• WE ARE NOT LIABLE FOR ANY LOSSES, DAMAGES, OR COSTS RESULTING FROM YOUR TRADING DECISIONS OR THE PERFORMANCE OF ANY ASSET YOU TRADE THROUGH THE SERVICE.
• WE ARE NOT LIABLE FOR INTERRUPTIONS, DELAYS, INACCURACIES, OR ERRORS IN MARKET DATA, API CONNECTIVITY, ORDER ROUTING, OR SERVICE AVAILABILITY, INCLUDING THOSE CAUSED BY A BROKERAGE INTEGRATION, MARKET-DATA PROVIDER, OR OTHER THIRD-PARTY PROVIDER.
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that market data, prices, or order status information will be accurate, complete, or timely.

Drakonsynth integrates with the following third-party services:

• Clerk — authentication and user identity
• Supabase — database infrastructure
• Stripe — subscription billing and payment processing
• Supported brokerage integration — account access, market data, and transmission of user-directed trading instructions

Each of these services has its own terms of service and privacy policies, which you are independently subject to. We are not responsible for the availability, performance, security, or conduct of any third-party service.

Subject to your compliance with these Terms, Drakonsynth grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for its intended and lawful purpose while you are authorized to access the Service.

All content, code, design, logos, trademarks, and materials comprising the Service are owned by or licensed to Drakonsynth LLC. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from any part of the Service without our prior written consent.

You retain ownership of any data you input into the Service, including your trading history. You grant us a limited license to process such data solely to operate and improve the Service.

We may modify, suspend, or discontinue all or part of the Service, including feature availability, at any time.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or possible legal exposure for us.

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Termination does not entitle you to a refund of fees already paid except as required by applicable law.

Upon termination, your right to use the Service ends. The provisions concerning account security, user responsibility, prohibited conduct, risk disclosures, disclaimers, limitations of liability, third-party services, intellectual property, indemnification, governing law, and any provisions that by their nature should survive will remain effective.

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, USA, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wisconsin, and you consent to the personal jurisdiction of such courts.

You agree that Drakonsynth may provide notices and other communications about the Service, your account, subscription, or these Terms electronically, including by email to the address associated with your account or by posting within the Service. You are responsible for keeping your email address current. Electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without our prior written consent.

To the extent permitted by law, you will defend, indemnify, and hold harmless Drakonsynth LLC and its members, managers, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Service, violation of these Terms, or infringement or misappropriation of a third party's rights.
