Terms of Service

By accessing or using Drakonsynth (the “Service”), available at drakonsynth.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

Drakonsynth is a web-based trading terminal that allows users to connect their existing Alpaca brokerage account using their own API credentials in order to place stock trades, with limited support for cryptocurrency trades where offered by Alpaca, view real-time and delayed market data, and manage open positions and order history.

We do not hold, custody, or manage user funds. We do not execute trades on our own behalf. We are not a broker, dealer, exchange, clearing firm, or financial intermediary. All trades are executed directly through your own Alpaca brokerage account using the credentials you provide. Drakonsynth acts solely as a software interface between you and Alpaca Markets.

You must be at least 18 years old and legally permitted to trade securities (and, where applicable, cryptocurrencies) in your jurisdiction in order to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements and that your use of the Service does not violate any applicable law or regulation.

You are responsible for maintaining the confidentiality and security of your Drakonsynth account credentials and your Alpaca API credentials. You are responsible for all activity that occurs under your account.

You agree to notify us immediately at [SUPPORT EMAIL] if you suspect any unauthorized access to your account or any compromise of your Alpaca API credentials. We are not liable for any loss or damage resulting from your failure to safeguard your credentials.

You are solely responsible for all trades placed through the Service. All trading decisions, including order type, quantity, symbol, timing, and risk management, are made by you alone. We do not recommend, approve, review, or endorse any specific trade, strategy, asset, or security.

Past performance does not guarantee future results. Market data displayed in the Service may be delayed, inaccurate, or incomplete. You acknowledge that you have read and independently agreed to the terms of service of Alpaca Markets and that your relationship with Alpaca is governed by your direct agreement with them.

You agree not to:

• Use the Service for any unlawful purpose, including market manipulation, securities fraud, insider trading, wash trading, or money laundering;
• Attempt to reverse-engineer, decompile, scrape, or otherwise exploit the Service or its underlying infrastructure;
• Share, sell, sublicense, or transfer your account credentials or Alpaca API credentials to any other person;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its systems, or the accounts of other users;
• Use the Service in violation of any applicable law, regulation, or third-party rights, including the terms of service of Alpaca Markets or any other third-party provider.

Access to Drakonsynth requires a paid subscription, processed through Stripe.

• Plan: $29.00 USD per month
• Free Trial: 14 days, no charge until the trial period ends
• Billing: Automatically charged monthly after the trial on a recurring basis
• Taxes: Prices may be subject to applicable taxes depending on your location

By providing your payment information, you authorize us, through Stripe, to charge your payment method on a recurring monthly basis until you cancel. If a payment fails, your access may be suspended or terminated until payment is resolved.

You may cancel your subscription at any time through your account settings or by contacting us at [SUPPORT EMAIL]. Cancellations take effect at the end of the current billing period, and you will retain access to the Service until that date.

We do not provide refunds for partial months or unused portions of a billing period, except as required by applicable law. Cancellations made before the end of the 14-day free trial will not be charged.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• WE ARE NOT LIABLE FOR ANY LOSSES, DAMAGES, OR COSTS RESULTING FROM YOUR TRADING DECISIONS OR THE PERFORMANCE OF ANY ASSET YOU TRADE THROUGH THE SERVICE.
• WE ARE NOT LIABLE FOR INTERRUPTIONS, DELAYS, INACCURACIES, OR ERRORS IN MARKET DATA, API CONNECTIVITY, ORDER ROUTING, OR SERVICE AVAILABILITY, INCLUDING THOSE CAUSED BY ALPACA OR ANY OTHER THIRD-PARTY PROVIDER.
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that market data, prices, or order status information will be accurate, complete, or timely.

Drakonsynth integrates with the following third-party services:

• Clerk — authentication and user identity
• Supabase — database infrastructure
• Stripe — subscription billing and payment processing
• Alpaca Markets — brokerage API for trade execution and market data

Each of these services has its own terms of service and privacy policies, which you are independently subject to. We are not responsible for the availability, performance, security, or conduct of any third-party service.

All content, code, design, logos, trademarks, and materials comprising the Service are owned by or licensed to [LLC NAME]. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from any part of the Service without our prior written consent.

You retain ownership of any data you input into the Service, including your trading history. You grant us a limited license to process such data solely to operate and improve the Service.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or possible legal exposure for us.

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Termination does not entitle you to a refund of fees already paid except as required by applicable law.

These Terms are governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms without our prior written consent.
